TOPIC

A panel of experts will discuss liability under technology contracts, including a discussion of the contractual interpretation of exculpatory clauses and the practical effect of insurance.

ABOUT THE PANEL

Mark McKay: Mark McKay is a Managing Partner of Jones Brown, Inc. Jones Brown Inc. is a corporate insurance and risk management firm which specializes in, among others, the Technology and New Economy sectors. Mark has personal experience in contract reviews, in addition to also having spent time as a corporate risk manager in the semiconductor industry.

Berkley Sells: Berkley Sells practices civil litigation with a focus on corporate/commercial disputes and internet defamation. He has experience at both the trial and appellate level including litigation involving: professional liability (negligence, negligent and fraudulent misrepresentations, breaches of fiduciary duties); and matters involving contract interpretation. Berkley has been with Fasken Martineau DuMoulin LLP in their Toronto office since 1998 and became a partner in 2003.

Andrew Steen: Andrew Steen is Senior Vice President with Chubb Insurance Company of Canada. Andrew leads a team of 110 delivering specialized property and liability insurance solutions. Andrew’s staff of specialized underwriters concentrate on delivering expertise oriented property and liability insurance solutions to Canadian and Multi-National Technology customers. Andrew is a graduate of the University of British Columbia and holds the Chartered Insurance Professional designation.

Moderator: Andrew Alleyne. Andrew is the Secretary of the TCLG and is an associate in the Technology and Intellectual Property group of Fasken Martineau DuMoulin LLP in their Toronto office.

COST FOR ATTENDANCE

Cost for lunch: ten dollars ($10) for members and students, twenty dollars ($20) for non-members, payable at the meeting. Receipts will be available. Cheques should be made payable to the Toronto Computer Lawyers’ Group.
