TOPIC

Technology agreements commonly include cybersecurity clauses requiring parties to comply with both specific technical standards (e.g., compliance with ISO 27001, NIST CSF, and SOC 2 Type II reporting) and general “best practices”. This panel discussion seeks to demystify the language commonly used in cybersecurity provisions. Our speakers will engage in a discussion of what is actually required to comply with such provisions and provide their perspectives on the importance of and the challenges associated with the inclusion of these provisions in agreements.

Lunch will be served at noon and the presentation will run from 12:30-1:30 pm.

ABOUT THE SPEAKERS

Bradley Limpert has practiced law for 28 years. Prior to graduating from law school at University of Toronto (Dean’s list), he obtained a Master’s degree in electrical engineering and worked at IBM as a project manager and data engineer. He advises clients on complex negotiations and disputes in relation to: software development, configuration, integration, customization and data conversion, outsourcing, SaaS/cloud, cybersecurity and privacy/data breach. He is the author of a leading looseleaf book Technology Contracting, published by Thomson Reuters. Brad is the director the LLM program in Privacy and Cybersecurity Law at Osgoode Hall Law School.

Jennifer Davidson is a partner of Deeth Williams Wall LLP and is the Co-Chair of the firm’s Technology Law Practice.  Jennifer practises in Technology, Privacy and Cybersecurity law. She advises on a wide range of technology-related transactional matters with a focus on data protection and long-term strategic guidance.  Jennifer advises on all aspects of privacy and data protection, including cyber incident response. Jennifer is the immediate past President and current Board Member of the Canadian Technology Law Association, past Chair and current executive member of the Information Technology and Intellectual Property Law Section of the Ontario Bar Association and is a frequent speaker and writer on issues of technology, data protection, cybersecurity, and privacy law.

Nick McAlister is a cybersecurity lawyer at the City of Toronto. Nick has worn many hats in the cybersecurity world. While never having received any formal training, Nick’s enthusiasm for cybersecurity began at an early age. His career has spanned from consulting for tech startups and assisting them with developing cost-effective cybersecurity and privacy compliance programs, to a role as a cybersecurity executive for a multi-national corporate travel company. He has now settled into a role as in-house counsel to the City of Toronto’s Office of the CISO, where he negotiates complex technology agreements, advises other lawyers conducting technology procurements, guides the organization through cyber incident response procedures, and is responsible for the legal/compliance aspects of the City’s adoption of AI technology. Nick holds a BA in Bioethics from the University of Toronto, and a JD from the University of Western Ontario.

COST FOR ATTENDANCE

Cost for attendance: fifteen dollars ($15) for members and students, twenty-five dollars ($25) for non-members, payable at the meeting. Receipts will be available. Cheques should be made payable to the Toronto Computer Lawyers’ Group.
